FOREWORD

Company “KID ZONE” D.0.0. Podgorica, with more than 30 years of experience in the market, is an expansive company that successfully imports and distributes a wide range of goods for home and family, from baby programs, toys, seasonal goods, all the way to office supplies, decorations and other products.

Excellent business results, where the offer is basically based on doing business according to European standards and quality, services, and innovations that the company “KID ZONE” has achieved in the European market, have enabled the company to operate independently in the Montenegrin market since 2019. Long-term success in work and presence on the market is based primarily on business in accordance with legal regulations, respect for social and moral principles and standards.

Today, the company “KID ZONE” on the domestic market is recognizable for high-quality products from Europe, at affordable prices, and in its range offers more than 30 thousand items.

The mission of the Company is to maintain and strengthen the leadership position since business success in modern society is based not only on economic success but also on social values that it puts in the foreground, which ensures long-term and profitable growth of the Company.

The changes that are happening at a high speed in the market impose very demanding challenges, so the basis of our success is a commitment to consumers and other customers, our employees, and society as a whole.

By constantly improving our business practice, we strive for the highest standards, in order to position ourselves as the leading provider in the business we perform.

I INTRODUCTION

Article 1

The purpose of the Code of Business Ethics (hereinafter: the Code) is to contribute to the conduct of business activities of the Company in the spirit of good business practices and morals, the principle of conscientiousness and honesty, as well as to enable transparency of the Company’s operations.

Performing business activities in accordance with the requirements of business ethics and standards of business morality is part of the Company’s business policy.

The Company acts with honesty and integrity in terms of overall business conduct towards employees, consumers, customers, suppliers, and competitors.

Guided by the basic ethical principles in business, the Company undertakes the responsibility to ensure that its activities in no way, directly or indirectly, jeopardize human rights violations. The Company does its best to ensure that its employees through regular training become aware of the Company’s obligations regarding respect for human rights, consumer rights, as well as their own rights and ob1igations.

Striving to implement this policy, the Company is constantly striving to build relationships with business partners who respect the same values and who are guided in ethical business by ethical principles.

The Company pays special attention to respecting consumer rights and as a priority in its regular operations takes the absolute application of the Consumer Protection Act, with the primary goal that all consumers under equal conditions within the legal process can exercise their rights guaranteed by this Act.

For this purpose, the Company, in addition to legal rights, has set itself a set of strict ethical values that guide the business.

II PERSONS TO WHOM THE CODE OF RELATIONS APPLIES

Article 2

This Code is binding on the Company and all employees of the Company, as well as all suppliers, subcontractors, consultants, and other associates. The Company expects the persons to whom this Code applies to transfer the values and obligations set out in this Code to their employees and subcontractors who perform business with the Company and to ensure that they accept and apply this Code. The Company expects all persons to whom the Code applies to adhere to the same values and obligations specified in this Code, which the Company itself adheres to.

Ill BASIC VALUES OF THE COMPANY

Employee rights

Article 3

The Company primarily respects all rights that employees have in accordance with the Labor Law, the General Col1ective Agreement, the Employment Agreement, and all other international and domestic regulations.

The Society respects all human rights proclaimed by domestic legislation, as well as international legal documents, the United Nations Declaration of Human Rights, the European Convention for the Protection of Human Rights and Fundamental Freedoms, and all other international legal acts in this field that have been ratified in Montenegro.

Environment

Article 4

The Company expects all persons covered by this Code to conduct their business and activities with the intention of protecting and preserving the environment as well as to reduce and eliminate waste of all kinds, including water and energy at source, or in processes such as material, preservation, recycling, changing production, maintenance, and processing operation of facilities.

Safety and health do not work

Article 5

The Company expects all persons covered by this Code to perform their activities in accordance with the Law on Occupational Health and Safety and bylaws; to establish and implement modern health, educational, -social, organizational and other measures and means to eliminate the risk of injury employees.

IV PRINCIPLES AND RULES OF BUSINESS ETHICS

Article 6

Respect for the principles and rules of business ethics implies., but is not limited to, the following principles:

Professional performance of business activity;

Conscientious and complete assumption and execution of obligations and responsibilities;

Performing registered activities in a way that does not endanger the professional reputation;

Use of allowed funds for the realization of business goals;

Compliance with regulations on incompatible business;

Keeping business secrets;

Avoidance of conflicts between personal and interests of economic entities;

Performing business activities in a way that does not harm existing members of the Company;

Performing business activities that increase the value of the Company’s capital;

Refraining from using political influence or pressure to achieve business goals;

Realization of business cooperation with other economic entities bona.fide;

Resolving disputes with business partners through negotiations or mediation, in an effort to continue cooperation and business relations.

V PROTECTION OF COMPETITION AND CONFLICT OF INTEREST

Article 7

Persons covered by this Code shall strictly comply with applicable antitrust laws, the Internal Trade Act, and all other laws, rules and regulations related to monopoly, unfair competition, prevention of trade competition, and relations with competitors and customers. It will not enter into agreements with competitors or with other economic operators that may unfairly affect competition, including, but not limited to, price-fixing or market allocation.

Persons covered by this Code are expected to always choose and cooperate with suppliers who do business with the Company in an open and fair manner, based on the merits of all persons, quality and value of products and services without special benefits for them or their family or friends. Accordingly, the employee must not have a financial interest or any other relationship with any supplier that may affect or act on the employee’s obligation to act in the best interests of the Company.

VI PROHIBITION OF CORRUPTION

Article 8

Persons covered by this Code must comply with all applicable laws prohibiting the corruption of all civil servants. In connection with any transaction of the Company or a transaction that in any way involves the Company, the person covered by this Code may not transfer any value, directly or indirectly, to any civil servant or employee employed by a legal entity under direct or indirect control Government or a political party, in order to obtain any inappropriate benefit or advantage. Persons covered by this Code must have a written record of their payments (including any gifts, meals, parties, or any other value) made on behalf of the Company or funds provided by the Company. Persons covered by this Code are required to submit copies of evidence of all payments at the request of the Company. Employees of the Company may not borrow anything from suppliers that cannot be construed as normal business hospitality and that may be considered reasonable and appropriate in certain circumstances. The usual business reciprocal signs of attention are usually acceptable, but suppliers should not offer employees of the Company inappropriate and expensive gifts, meals, or entertainment that may appear to have an inappropriate influence on decision making. Gifts in cash, as wen as in cash equivalents such as gift cards, are never allowed. Gifts and entertainment for suppliers must support the legitimate business interests of the Company and should be reasonable and appropriate in certain circumstances. Employees in the Company are obliged to take it into account in every situation rules of conduct in relation to suppliers, which relate to receiving gifts and organizing parties.

VII PRIVACY POLICY

Article 9

The Company respects the obligation to keep confidential information. Data that third parties have characterized as confidential, with which the Company comes into contact during the performance of its activities, will be kept as its own and after the termination of employment and contractual relationship, as long as that information is confidential.

The Company takes all necessary measures to ensure that the information it learns is secure, which it expects from all persons covered by this Code. To this end, only authorized employees of the Company, companies that are service providers and business partners who are all obliged to keep confidential information, have access to them.

VIII TRANSITIONAL AND FINAL PROVISIONS

Amendments to the Codex

Article 10

The Company reserves the right to make amendments to this Code, which the persons covered by this Code are also obliged to comply with.

Relation to the Law and other Codes

Article 11

The Code does not affect the application of laws regulating the status, rights, and obligations of the circle of persons to whom this Code applies.

Persons referred to in this Code are obliged to comply with all applicable laws, rules, and regulations in Montenegro, as well as to maintain a system of permanent monitoring of compliance with these laws, rules, and regulations. If the requirements of this Code are more lenient about the national legislation of the state, the person to whom the Code applies is always obliged to comply with national legislation, which in that case takes precedence over the Code.

Application and entry into force

Article 12

This Code shall enter into force on 25.05.2020. year and will be published on the Bulletin Board of the Company as well as on the website of the Company.
